
Stoltmann Law Offices is investigating Tony Thompson, who the Financial Industry Regulatory Authority (FINRA) alleges “made material misrepresentations and omissions in the sale of private placement securities to investors.” Thompson was the leading seller of private real estate investments known as tenant-in-common exchanges (TICs). His broker-dealer, TNP Securities, which he owned, sponsored $50 million in high-yield promissory notes, taken from investors. The notes were not able to make payments and went into default. FINRA had warned Mr. Thompson to pay $36.2 million in restitution to investors at an earlier date, although this amount was not in the final order that FINRA issued.
FINRA alleged that TNP Securities did not disclose the firm’s negative equity of $18 million having to do with the private placements. Mr. Thompson “exercised editorial control over the offering materials.” Before being registered with TNP Securities, Mr. Thompson was registered with ARI Financial Services, Inc., Wilson-Davis & Co., Inc., Grubb & Ellis Securities, Inc., Private Ledger Financial Services Inc., and Jefferson-Pilot Equity Sales, Inc. FINRA barred this individual from acting as a broker or investment adviser.
